We are Diversis Capital, a private equity firm based in Los Angeles, CA, and we are looking to expand our legal team by bringing on a Corporate Counsel. We have a track record of success and a dedication to building and developing lower middle market companies in the software and tech-enabled services sectors. We are committed to driving forward the next generation of transformative businesses. The Corporate Counsel will play a crucial role in supporting the General Counsel in the firm's legal matters, particularly focusing on commercial/SaaS contracts, employment and consulting agreements, issuing equity grants, and reviewing and revising NDAs. Although there will be some work with the internal investment team, this position will work mostly with our portfolio companies and operating team, under the supervision of our General Counsel.

This role will be remote in the Pacific or Mountain time zone.

Key Responsibilities:

• Draft, review, and negotiate a wide range of commercial contracts in the SaaS sector.
• Negotiate and prepare employment and consulting agreements.
• Continuously update and improve a wide range of legal forms and templates and serve as the repository for forms and templates.
• Collaborate with General Counsel to develop comprehensive, long-term legal policies throughout the firm and its portfolio companies.
• Keep apprised of changes in the law that impact the firm and its portfolio companies and provide action plans on how to address changes.
• Review and revise NDAs on consistently short timelines.
• Prepare and issue equity grants across portfolio companies.
• Provide a wide range of legal advice and support to various departments within the firm and its portfolio companies, including finance, operations, and human resources.

Requirements:

• Juris Doctor (JD) degree from an accredited law school and either membership with the State Bar of California or the ability to become a Registered In-House Counsel in California.
• 5 years of relevant experience practicing corporate law, preferably in the SaaS sector.
• Excellent drafting, negotiation, and communication skills, with extreme attention to detail.
• Ability to multitask and prioritize tasks effectively in a fast-paced environment.
• Ability to work collaboratively as part of a cross-functional team, while also able to work independently managing complex legal matters.
• Prior experience working at a SaaS company.

Compensation:

$225K-$250K/year, no equity.
